Terms of Use

These terms govern your use of the Arvallis website and Services. For paid engagements, our Master Services Agreement and your Order Form carry the operational detail.

Welcome to Arvallis. These Terms of Use are the ground rules for our website and Services. They work alongside our Privacy Policy and, for clients, our Master Services Agreement.

Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the Arvallis website and the Services offered by Arvallis Operations Co. ("Arvallis," "we," "us"). By using the website or the Services, you agree to these Terms. If you do not agree, please do not use them.

Who We Are & What These Cover

Arvallis provides back-office operations for landlords and property managers. These Terms cover your general use of our website and Services. Your paid engagement is governed primarily by our Master Services Agreement ("MSA") and your Order Form; if those conflict with these Terms for paid Services, the MSA and Order Form control.

Eligibility & Accounts

You must be at least 18 and able to form a binding contract to use the Services. If you use the Services for an organization, you represent that you are authorized to bind it. You are responsible for keeping your account credentials confidential and for activity under your account, and you agree to provide accurate information and keep it current.

The Services & Relationship to the MSA

Details of the Services — scope, the Runbook, plans, and responsibilities — are set out in the MSA. Nothing on the website is an offer or guarantee of any particular result. We may update, improve, or discontinue features of the website over time.

Orders & Payment

When you subscribe, you select a plan and any add-ons on an Order Form and provide a payment method processed by Stripe.

Authorization, then capture

Checkout places an authorization hold that is not a charge. We capture your first payment only after you sign your Runbook. Recurring and one-time fees are then billed as described in the MSA.

You authorize us to charge recurring and one-time fees until you cancel. Billing, refunds, late payments, and price changes are governed by the MSA.

Acceptable Use

When using the website or Services, you agree not to:

  • Break the law or infringe others’ rights;
  • Upload malware or attempt to disrupt, probe, or gain unauthorized access to our systems;
  • Misrepresent your identity or authority, or submit data you have no right to provide;
  • Reverse engineer, scrape, or copy the Services except as allowed by law; or
  • Use the Services to harass, defraud, or harm others.

Intellectual Property

The website, the Services, and Arvallis’s methods, software, templates, and brand are owned by Arvallis and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the website and Services for your own business purposes while these Terms are in effect. You keep all rights in your own data and materials, as detailed in the MSA. You may not use the Arvallis name or logo without our written permission.

Third-Party Services & Links

The Services rely on third parties such as Stripe, and our website may link to sites we do not control. We are not responsible for third-party services, their terms, or their content. Your use of a third-party service is governed by that provider’s terms and privacy policy.

Privacy

Our Privacy Policy explains how we handle personal information. By using the Services, you acknowledge that handling as described there.

Disclaimers

Except as expressly stated in the MSA, the website and Services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the website or Services will be uninterrupted, secure, or error-free, or that any result will be achieved.

Limitation of Liability

To the fullest extent permitted by law, Arvallis will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the website or Services. For paid Services, the liability limits in the MSA apply. For free use of the website, our total liability will not exceed one hundred U.S. dollars (USD $100).

Indemnification

You agree to defend and indemnify Arvallis against third-party claims arising from your use of the website or Services in violation of these Terms or applicable law, or from content or data you provide. This is in addition to any indemnities in the MSA.

Suspension & Termination

We may suspend or terminate your access to the website or Services if you violate these Terms, create risk or legal exposure, or fail to pay fees when due. Termination of paid Services is governed by the MSA. Provisions that by their nature should survive termination will survive.

Changes to these Terms

We may update these Terms from time to time. When changes are material, we will update the effective date and, where appropriate, provide additional notice. Your continued use after an update means you accept the revised Terms.

Governing Law & Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. The parties will first try in good faith to resolve any dispute informally. If that fails, the state and federal courts located in New York County, New York have exclusive jurisdiction, and each party consents to that venue and waives any right to a jury trial to the extent permitted by law.

General

These Terms, together with the Privacy Policy and — for paid Services — the MSA and your Order Form, are the entire agreement between you and Arvallis regarding the website and Services. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor. Nothing here creates a partnership, agency, or employment relationship beyond what the MSA provides.
